§18-2007.
   
   A. Two signed copies of the articles of organization or any articles
   of amendment or dissolution or of any decree of judicial amendment or
   dissolution shall be delivered to the Secretary of State. A person who
   executes articles as an agent or fiduciary need not exhibit evidence
   of his authority as a prerequisite to filing. Unless the Secretary of
   State finds that any articles do not conform to law, upon receipt of
   all filing fees required by law he shall:
   
   1. Endorse on each copy the word "filed" and the day, month and year
   of the filing thereof;
   
   2. File one copy in his office; and
   
   3. Return the other copy to the person who filed it or his
   representative.
   
   B. Upon the filing of articles of amendment or a decree of judicial
   amendment in the Office of the Secretary of State, the articles of
   organization shall be amended as set forth therein and upon the
   effective date of articles of dissolution or a decree of judicial
   dissolution, the articles of organization are cancelled.
